The Executive Leadership Community Ltd is a global private members club that provides senior business leaders with an opportunity to connect to each other, share ideas and debate key topics that are relevant to the leadership of organisations, learn from leading thinkers on key topics and influence research.

These are the Terms and Conditions of Executive Leadership Community Ltd registered number 14603494. (Executive Leadership).



General

 

  1. ‘Leadership Community’ – The online membership group created and governed by Executive Leadership and bound by these Terms and Conditions.
  2. ‘Member(s)’ -An individual who has joined the Leadership Community.
  3. ‘Membership Subscription’– charge for membership of the Leadership Community charged monthly or annually.
  4. ‘Additional fee(s)’ – Charge for additional services.
  5. ‘Membership(s)’- Where a Member has joined the Leadership Community for a set period.
  6. ‘Benefits’- the services offered to Members.
  7. ‘Website’- www.executiveleadershipcommunity.com.
  8. Payment of the Membership Subscription or any Additional Fee must be through the Website by Stripe, PayPal or Apple Pay.
  9. These Terms and Conditions will represent the whole of the terms between Executive Leadership and the Members.


Benefits

 

  1. Details of the current Benefits will be provided in good faith to the Member at the point of joining. These will change and adapt over time.
  2. The Benefits will include: access to resources on the Website (or other suitable software) which may include a Members directory; the provision of online workshops; live networking events in various time zones; the provision of an annual white paper on a subject of interest to the Members and various downloadable resources.

The Membership

 

  1. Membership is open to anyone who works in a leadership position. Potential members must complete an application form. Executive Leadership reserve the right to refuse to accept any application without providing any reason.
  2. Executive Leadership can terminate the Membership at any time, without a refund should the Member commit a material breach of these Terms and Conditions.
  3. The Member will have the opportunity to read these Terms and Conditions and have any questions answered before becoming a Member. The Member is accepting these Terms and Conditions by applying to become a Member and paying the Membership Subscription.
  4. The individual is the Member not their business, but we will accept payment of the Membership Subscription from the business on their behalf.
  5. Membership is not automatically transferable between members of the same business but belongs solely to the individual who joined.
  6. All Members will automatically have their profile added to the directory on the Website. This will include: their name; business name; contact details; social media links; personal bio and specific requests. The details may also be visible elsewhere on the Website. It is the member’s responsibility to complete their member profile, including links to their social media and website etc, and to make sure this information is always correct and up to date.
  7. The Member will indemnify Executive Leadership against any claim or issue arising from the information supplied for the directory on the Website. It is solely the Members responsibility to ensure any information is accurate and does not breach the rights of any other person or business.
  8. The contract for Membership is made when the individual has been accepted and agreed by Executive Leadership and the Membership Subscription paid.
  9. The Membership may run for one year or from month to month. There is no minimum term. Executive Leadership may refuse to accept the renewal of any membership without giving a reason.


The Member’s Obligations

 

  1. Information provided by the Member must be complete and accurate. Any changes in facts or relevant activities must be communicated to Executive Leadership.
  2. The Member will comply with the current Code of Conduct for Members.
  3. The Member must behave with respect to Executive Leadership and other Members including on other platforms such as social media and WhatsApp. Bad behaviour will not be tolerated Executive Leadership reserve the right to terminate any Membership without compensation if they believe a Member’s behaviour does not meet the required standard.
  4. Members must not make disparaging comments on social media about Executive Leadership or the Leadership Community
  5. Members must not mention the names of other Members on their own social media without the written consent of that individual Member or make any criticism of other Members.
  6. Participation in activities provided is not mandatory but it is hoped Members will engage regularly. If they encounter any practical problems with participation (e.g. different time zones) these should be communicated to Executive Leadership.


The Membership Subscription

 

  1. The Membership Subscription must be paid in full in advance.
  2. The Member must decide if they wish their Membership to run annually or from month to month. They can change to an annual subscription by notifying Executive Leadership. They can only change to a monthly subscription at the end of an annual subscription period.
  3. The Membership Subscription may vary over time.
  4. An invoice will be raised for the Membership Subscription. Membership is not in place until the invoice has been paid.
  5. If an invoice for a monthly subscription is not paid on the due date the Membership will be paused until such payment is received by Executive Leadership.
  6. If an invoice is not paid within 14 days of the due date, then interest at 8% per annum above the current Bank of England base rate will be payable together with the current recovery fees.
  7. All invoices must be paid in full without set-off, deduction or counterclaim.


Attendance at Meetings

 

  1. If a Member is unable to attend any arranged meeting or webinar this must be communicated to Executive Leadership as soon as possible.
  2. If a Member is unable to attend any activity or event for any reason, any Additional Fee paid will normally be non-refundable.
  3. If Executive Leadership are unable to provide any event for reasons beyond their control, then the event will either be rearranged to a different date or and if not possible a refund of any Additional Fee paid made. They will have no further liability to the Members.


Transfer of Membership

 

  1. If a Member wishes to transfer their Membership to another individual in their business, Executive Leadership will consider the application. An administration fee may be charged if approved.
  2. In all cases the decision of the Executive Leadership will be final.
  3. An individual Member cannot be substituted by a member of their business if they are unable to attend any event.
  4. Some meetings and events may be open to visitors subject to payment of the agreed charge in advance of the meeting or event.


Limitation of Liability

 

  1. Should Executive Leadership be prevented, hindered or delayed from performing their obligations under these terms by circumstances outside of their control (including without limitation acts of God, flood, drought, earthquake, other natural disasters, epidemic or pandemic, a terrorist attack, war, civil commotion or riots, war, the threat of or preparation for war, armed conflict, the imposition of sanctions, embargo or breaking off diplomatic relations, nuclear, chemical or biological contamination, any law or action by government or public authority, the collapse of buildings, fire explosion or accident, any labour dispute or strike, non-performance by suppliers or subcontractors, interruption or failure of utility service, any action or order from the government, travel restrictions), Executive Leadership shall be relieved from performing their obligations and will not be in breach of these Terms and Conditions or otherwise liable for any such failure or delay in the performance of such obligations.
  2. The liability of Executive Leadership to the Member shall not exceed the Membership Subscription and any Additional fees paid.
  3. Executive Leadership are not liable for any indirect or consequential losses to the Member or any third party.
  4. Executive Leadership has no liability for any loss of profits, goodwill, reputation, special or indirect losses or any other business losses.
  5. Executive Leadership does not exclude liability for death or personal injury caused by the negligence of Executive Leadership or its employees, agents or subcontractors or fraud or fraudulent misrepresentation.
  6. Should any Member arrange any agreement, activity, arrangement or otherwise with another Member then Executive Leadership will have no liability should any dispute or issue arise between Members. If bad behaviour is involved that relates to the Leadership Community, they will investigate and take what action they consider appropriate.


Indemnity

 

Should Executive Leadership incur any costs, damages, claims or other expenses of any kind from a Member or third party arising out of the behaviour or actions of another Member or Members (including any dispute between those Members), then those Members shall indemnify Executive Leadership against all costs, damages, claims or expenses that arise as a result. All Members involved shall be liable to Executive Leadership without the need for Executive Leadership to prove which of the Members is at fault if at all.


Intellectual property

 

  1. All copyright, trademarks and all other intellectual property rights in the Website, logo, training materials, documents, resources and materials provided to the Members shall remain always vested in Executive Leadership Any attempt to copy any of these or reproduce, transmit, publish, display, exploit, or create derivative items shall render the Member liable for damages whether the breach is by them personally or by a third party.
  2. If the Member wishes to use the intellectual property including the documents and resources, they must obtain written consent from Executive Leadership and pay any charge requested before doing so.
  3. Any Membership will automatically terminate should they, or any third party through them, be discovered using the documents or other materials supplied and covered by intellectual property rights in breach of these Terms and Conditions.


Confidentiality

 

  1. The Member will keep all information supplied to them not in the public domain in connection with Executive Leadership and other Members private and confidential. This includes information relating to their business methods, practices, employees, contractors and includes all information whether labelled as Confidential or not.
  2. This will continue for a period of two years after termination of Membership.
  3. Executive Leadership may disclose such information to any subcontractor, supplier, or employee to the extent necessary to operate the Leadership Community.

Data Protection

 

  1. All data supplied to Executive Leadership by the Member will be kept safely in accordance with the UK General Data Protection Regulation (UK GDPR) and general UK legislation as set out in their current Privacy Notice.
  2. The Member will similarly comply with all current data protection legislation when dealing with data regarding Executive Leadership and other Members.
  3. All Members must take steps to ensure that their systems and equipment have robust protection of personal data, in order to avoid being susceptible to cybercrime. The Member must indemnify Executive Leadership against any costs and expenses that arise because of problems with the equipment or systems of that Member.
  4. All Members must ensure that any personal data that they receive about Executive Leadership or other Members is not passed onto any third party, except when there is an agreement with the individual(s) involved.
  5. Executive Leadership may mention that certain individuals are Members in their marketing materials or social media. This will not be done without the specific consent of that individual Member.
  6. If a Member provide testimonials or records a short piece to camera for social media, this may be used in the marketing materials or social media (with the consent of that individual member). Visitors may be tagged on social media posts and shown in marketing materials but will not be named without their permission.
  7. If any post put on social media by a Member is deemed to not be appropriate or comply with the rules of Executive Leadership, they will be asked to remove this. They must comply immediately once asked to do so.


Complaints

 

  1. The Member must raise any problem or complaint it has with their Membership or any other matter with Executive Leadership as soon as the issue arises.
  2. The complaint must then be confirmed in writing within seven days. Steps will be taken to consult with the Member and find a solution.
  3. A response from Executive Leadership will be given within 14 days of receiving the complaint.


Severance

 

If any part of these Terms and Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from the Terms and Conditions and shall not affect the validity and enforceability of any of the remaining provisions.


Waiver

 

The waiver by Executive Leadership of a breach, default, delay, or omission of any of these Terms and Conditions by the Member will not be construed as a waiver of any preceding or subsequent breach of the same or other provisions.

Transfer

 

The Member may not transfer any of their rights or Membership to any third party except as mentioned in these terms and Conditions.


Law

 

These Terms and Conditions are governed by the law of England and Wales and their courts will have exclusive jurisdiction over any dispute that arises.
